1. Acceptance of these terms

By using this website, submitting an enquiry, approving a quotation, approving artwork, making a payment or otherwise instructing Luxsome Packaging to proceed with a project, you agree to be bound by these Terms and Conditions.

Where you place an order on behalf of a company, brand or another person, you confirm that you have authority to accept these terms on their behalf.

2. About Luxsome Packaging

Luxsome Packaging provides custom packaging systems, packaging consultation, creative design coordination and related production services for fashion and lifestyle brands.

In these terms, “Luxsome,” “Luxsome Packaging,” “we,” “us” and “our” refer to Luxsome Packaging. “Client,” “customer,” “you” and “your” refer to the person or organisation requesting or purchasing our services.

3. Our services

Our services may include the design, coordination, sourcing, printing, finishing or production of:

• Custom packaging boxes and other box structures
• Brand tags and product tags
• Thank-you cards and notes
• Envelopes
• Branded tissue wrappers
• Ribbons
• Stickers and seals
• Complete coordinated packaging systems
• Other agreed packaging or printed materials

The exact scope of each project will be stated in the applicable quotation, invoice, order summary or written project confirmation.

4. Enquiries and consultations

Information shared during an initial enquiry or consultation is used to understand your packaging needs and prepare recommendations or a quotation.

An enquiry, consultation or estimate does not create a binding production order. An order is confirmed only after the relevant quotation has been accepted and the required initial payment has been received.

5. Quotations and pricing

Prices displayed on our website are indicative launch or starting prices unless expressly stated otherwise. Final pricing may depend on:

• Order quantity
• Box dimensions and structure
• Paper, board and material selection
• Printing method
• Finishing requirements
• Artwork complexity
• Accessories and packaging components
• Delivery destination
• Production urgency
• Material availability and production costs

Your final quotation will identify the products, services, quantities, prices and other material project details included in your order.

Unless otherwise stated, a quotation remains valid for the period shown on the quotation. Where no validity period is stated, we may review the quotation before payment is made, particularly where material or production costs have changed.

Any service, product, revision or requirement not included in the approved quotation may attract an additional charge.

6. Order confirmation

An order is considered confirmed when:

1. You have accepted the applicable quotation;
2. We have received the required upfront payment; and
3. We have confirmed acceptance of the project.

We reserve the right to decline a project before accepting the order, including where the requested materials, timeline, artwork, quantity or production specifications are not reasonably achievable.

7. Design and artwork

Where design support is included, you must provide accurate brand information and all required assets, including logos, text, product details, colours, dimensions and reference materials.

Unless otherwise agreed, the project price includes only the number of design concepts or revision rounds stated in your quotation.

Additional concepts, substantial changes, alterations to an approved direction or revisions beyond the agreed allowance may attract additional fees and may extend the project timeline.

You are responsible for carefully checking all artwork, including:

• Spelling and grammar
• Names and contact details
• Social media handles and website addresses
• Product descriptions
• Measurements and dimensions
• Logo placement
• Colours and finishes
• Any other information appearing on the design

8. Final design approval

Production will begin only after you provide clear written approval of the final design, artwork, specifications or production sample where applicable.

Approval may be provided through email, WhatsApp, an approval form or another written communication accepted by Luxsome Packaging.

This clause does not exclude responsibility for an error introduced by Luxsome Packaging after your approval or for goods that do not reasonably conform to the approved specification.

9. Payment terms

Unless otherwise stated in writing:

• A 70% upfront payment is required after the design has been approved and before production begins.
• The outstanding 30% balance must be paid before collection, dispatch or delivery of the completed order.

For some projects, we may require a design, consultation, sampling or commitment fee before design work begins. Any such fee will be disclosed before payment.

Payments must be made through a payment method approved by Luxsome Packaging. You are responsible for confirming that payment details were received through an official Luxsome communication channel before transferring funds.

Work may be suspended where a required payment is overdue. Any resulting delay may affect the estimated completion or delivery date.

10. Production timelines

Any production or completion date provided is an estimate unless we expressly confirm a guaranteed deadline in writing.

The production timeline usually begins only after:

• Final artwork and specifications are approved;
• The required payment has been received;
• All required client information is available; and
• Required materials have been confirmed.

Timelines may be affected by project complexity, revision requests, material availability, supplier delays, equipment issues, public holidays, delivery services or circumstances beyond our reasonable control.

Where we become aware of a material delay, we will make reasonable efforts to inform you and provide an updated estimate.

11. Materials, colours and handmade variations

Product photographs, digital mock-ups and colours displayed on phones, monitors or other screens are visual references. Screen settings and lighting can affect how colours appear.

Printed colours may vary reasonably from digital previews, previous print runs, samples or colours viewed on screen because of differences in:

• Printing processes
• Material batches
• Paper and board surfaces
• Ink absorption
• Finishing techniques
• Lighting conditions

Certain packaging items involve manual assembly or finishing. Minor variations in folds, positioning, texture, alignment or finishing may occur and will not automatically constitute a defect where the goods remain of acceptable quality and reasonably conform to the approved design.

Where an exact material, shade or accessory becomes unavailable, we will seek your approval before making a material substitution that substantially changes the agreed appearance or specification.

12. Changes to confirmed orders

Requests to change an order must be submitted in writing as soon as possible.

We will confirm whether the requested change is possible. Changes may result in:

• Additional design or production fees
• Material wastage charges
• A revised quotation
• A revised production timeline
• A new minimum order requirement

We are not required to accept changes after production has begun where the change is no longer reasonably practicable.

13. Cancellations and refunds

Because our packaging products are made or customised for individual clients, cancellation charges may apply after an order has been confirmed.

Where you request cancellation, we will assess the stage reached and may deduct reasonable amounts covering work already completed or costs already incurred, including:

• Consultation or design work
• Approved third-party expenses
• Materials purchased for the project
• Samples or production preparation
• Printing, finishing or assembly already completed
• Reasonable administrative or cancellation costs

Where production has been substantially completed or the products have been made specifically to your approved requirements, the amount already paid may not be refundable to the extent that it represents reasonable work performed and costs incurred.

If Luxsome Packaging cancels an accepted order for reasons not caused by you, we will refund amounts paid for products or services that have not been supplied, subject to any alternative solution agreed with you.

Nothing in these terms removes or limits any right to a refund, repair, replacement or other remedy that you are entitled to under applicable Nigerian consumer-protection law.

14. Collection, dispatch and delivery

Collection or delivery arrangements will be confirmed separately for each order.

Unless expressly included in your quotation, delivery fees are charged separately.

You must provide a complete and accurate delivery address, contact name and telephone number. We are not responsible for delays or additional charges caused by incorrect or incomplete delivery information supplied by you.

Where delivery is handled by a third-party courier, we will take reasonable care when packaging and handing over the goods. Estimated courier delivery dates are not guaranteed unless expressly stated.

You should ensure that someone is available to receive and inspect the order. Additional delivery charges may apply where a courier is unable to complete delivery because the recipient is unavailable or the address is inaccessible.

15. Inspection and complaints

Please inspect your order promptly after collection or delivery.

Where you believe items are damaged, missing, defective or materially different from the approved specification, contact us as soon as reasonably possible through:

Your complaint should include your name, order details, a clear description of the issue and photographs or videos where relevant.

Prompt reporting allows us to investigate the condition of the goods, packaging and delivery more effectively. A delay in reporting will not remove any right that cannot lawfully be removed.

16. Defective, damaged or incorrect goods

If we confirm that goods are defective, damaged before delivery, incorrectly produced or materially different from the approved specification, we will provide an appropriate remedy in accordance with the circumstances and applicable law.

Depending on the nature of the issue, the remedy may include:

• Correction or repair
• Replacement of affected items
• Reproduction of affected items
• A reasonable price adjustment
• A partial or full refund where appropriate

We may request an opportunity to inspect the goods or require affected items to be returned before determining the appropriate remedy.

Products will not ordinarily be considered defective solely because of minor acceptable variations described in Section 11.

17. Client-supplied content and materials

You confirm that you own, control or have permission to use all logos, artwork, photographs, text, trademarks, fonts and other materials you provide to us.

You must not ask us to reproduce content that:

• Infringes another person’s rights;
• Is unlawful, fraudulent or misleading;
• Is defamatory or threatening;
• Promotes unlawful activity; or
• Would expose Luxsome Packaging to legal liability.

We may refuse or suspend a project where we reasonably believe the supplied content is unlawful or infringes another person’s intellectual-property rights.

18. Intellectual property and design ownership

You retain ownership of the original brand assets that you supply to us.

Unless otherwise agreed in writing, Luxsome Packaging retains ownership of:

• Unselected design concepts
• Working files and production files
• Templates and structural systems
• Internal production methods
• Mock-ups and presentation formats
• General design elements developed independently of your brand

Once all applicable fees have been paid, you may use the final approved packaging design for the commercial purposes for which it was created.

Editable or source files are not automatically included unless expressly stated in your quotation.

19. Photography and portfolio use

Unless you request confidentiality in writing before production is completed, Luxsome Packaging may photograph completed packaging and display the work in its portfolio, website, social media, catalogue, presentations and promotional materials.

We will not intentionally disclose confidential commercial information that is not already visible on the completed packaging.

Where a product or brand is subject to an agreed launch embargo, we will make reasonable efforts not to publish the work before the agreed date.

20. Use of this website

You may use this website for lawful personal or business purposes connected with learning about, enquiring about or purchasing our services.

You must not:

• Attempt to gain unauthorised access to the website;
• Interfere with the website’s operation or security;
• Introduce malicious code;
• Copy substantial website content for commercial use;
• Misrepresent your identity or relationship with another person;
• Use the website for unlawful or fraudulent purposes.

21. Third-party websites and services

Our website may contain links to third-party services, including WhatsApp, Instagram, Google, payment providers, couriers or external document viewers.

Those services operate under their own terms and privacy policies. We are not responsible for the content, security or availability of independent third-party websites or platforms.

22. Responsibility and limitation of liability

Nothing in these terms excludes or limits liability where doing so would be unlawful, including liability arising from fraud, fraudulent misrepresentation, gross negligence or rights and remedies that cannot lawfully be excluded.

Subject to applicable law, Luxsome Packaging will not be responsible for losses caused by:

• Incorrect information or artwork supplied by you;
• Errors contained in artwork approved by you;
• Unauthorised use of third-party intellectual property supplied by you;
• Improper storage, handling or use after delivery;
• Delays caused by your late approval, payment or information;
• Third-party services outside our reasonable control;
• Events beyond our reasonable control.

Any limitation in these terms will be interpreted only to the extent permitted by applicable law and will not remove any mandatory consumer right.

23. Events beyond our reasonable control

We will not be responsible for a delay or failure caused by circumstances reasonably outside our control, including:

• Natural disasters or severe weather
• Fire, flood or accident
• Government restrictions
• Industrial action
• Power, internet or telecommunications failure
• Transport or courier disruption
• Material shortages
• Supplier or manufacturing disruption
• Civil disturbance, epidemic or public emergency

Where such an event materially affects your order, we will make reasonable efforts to communicate with you and agree an appropriate revised arrangement.

24. Privacy and personal information

We process personal information submitted through our website, email, WhatsApp and project forms in accordance with our Privacy Policy and applicable Nigerian data-protection law.

25. Governing law and dispute resolution

These Terms and Conditions are governed by the laws of the Federal Republic of Nigeria.

If a dispute arises, both parties should first make reasonable efforts to resolve it through direct, good-faith communication.

Where a resolution cannot be reached, either party may pursue any remedy or complaint procedure available under applicable Nigerian law.

26. Changes to these terms

We may update these Terms and Conditions to reflect changes to our services, operating procedures or legal obligations.

The updated version will be published on this page with a revised “Last updated” date.

Unless otherwise required by law, changes will not retrospectively alter the terms of an order already accepted without appropriate notice or agreement.
